Terms & Conditions
1. Scope
These Terms & Conditions (T&Cs) govern the contractual relationship between startfba Einzelunternehmen (“Provider”, “we”, “our”) and the registered users (“Student”, “Client”, “you”) of our FBA platform. By registering, you accept these terms.
2. Services Provided

We provide a platform enabling students and beginners to test Amazon FBA without having their own company, VAT registration, or customs license.

Depending on the chosen package (Starter, Silver, Gold, Platinum), we offer product validation, listing creation, reporting, coaching calls, and payouts.

We do not guarantee sales, profitability, or Amazon account approval of specific products.
-
Services do not include product sourcing, supplier payments, customs clearance, or Amazon PPC advertising.
3. Membership & Packages

Membership is subscription-based (monthly fee).
-
Current packages: Starter (Free), Silver (€49/month), Gold (€99/month), Platinum (€199/month).

Fees are due monthly in advance. Payments are processed via Stripe, PayPal, or SEPA Direct Debit.

Membership can be upgraded anytime, downgraded effective next billing cycle, and cancelled anytime.
4. Platform Fee & Deposits
-
In addition to the monthly subscription, we retain a 5% platform fee on the net Amazon payout (after Amazon deducts referral, FBA, storage, and other fees).

For each SKU sent to Amazon FBA, the client pays a refundable deposit of €50.
-
Deposits cover potential Amazon storage or removal fees.

Deposits are refunded once the inventory is sold or removed, minus any outstanding costs.
5. Advertising & Deposits

Amazon PPC campaigns are run under our seller account.
-
Advertising spend is borne exclusively by the client.

Clients must provide a prepaid advertising deposit (minimum €100, top-ups required if balance is insufficient).

Campaigns will only be launched if sufficient deposit is available.
-
Unused deposit balance will be refunded upon termination.
-
We provide campaign setup and reporting but do not guarantee sales or profitability.
6. Inventory, Storage & Responsibility

All inventory always belongs to the client. The client pays suppliers directly.

We provide labeling instructions and an inbound checklist; the client is responsible for compliance and startfba is responsible to send inventory to Amazon warehouse.

Amazon fees (referral, FBA, storage, removal) are deducted directly by Amazon.
-
If sales revenue is insufficient to cover storage or removal, the costs will be charged to the client and deducted from their deposit.

Unsold products: If fewer than 5 units sell within 60 days, we notify the client. After 60 days, we may require removal or disposal at the client’s cost.

Prohibited products include but are not limited to: perishable goods, hazardous materials, batteries, cosmetics without EU certification, branded/IP-sensitive goods, adult items, supplements, and restricted categories. We may refuse any product at our discretion.

All payouts are treated as income for the client. Clients are solely responsible for declaring this income in their personal tax returns and for paying any applicable taxes or social contributions. The platform is not liable for any tax obligations of the client.
7. Inventory Handling & Warehouse Services

Clients must send inventory to our designated warehouse address after proper labeling with Amazon FNSKU barcodes.

Upon receipt, we check packages for quantity and external condition (not quality control of goods).

After verification, we forward the inventory to the Amazon FBA warehouse.

Minimum stock per shipment is 20 units; maximum stock per shipment is 500 units.

Number of shipments per month is agreed individually between client and provider.

We are not liable for product quality, defects, or compliance of goods. Our check is limited to packaging and labeling correctness.

Storage at our warehouse is temporary; long-term storage is not included.
8. Payouts
-
Amazon disburses net revenue after fees.
-
We deduct our 5% platform fee and refund deposits if applicable.

Payouts to clients are made monthly, 7–10 days after Amazon settlement, provided the minimum threshold of €25 is reached.

Clients must provide valid bank details and identification documents (KYC) before first payout.
9. Coaching Calls & Support
-
One-time 20-min intro call is included for all new users.
-
Silver: 1 coaching call/month; Gold: 2 calls/month; Platinum: 4 calls/month.
-
Extra calls may be booked at €20/20 min.
-
Support SLAs vary by package (48h email for Silver, 24h for Gold, same-day chat for Platinum).
10. Cancellation & Termination

Clients may cancel anytime. Cancellation takes effect at the end of the current billing cycle.

We may terminate membership with immediate effect for violations of these terms, prohibited products, or non-payment.

Deposits will be returned after settlement of outstanding storage/removal fees.
11. Liability

We are not liable for:

Unsold inventory

Supplier defects or delays

Amazon policy enforcement or account suspensions

Customs seizures, compliance violations, IP claims

Liability for damages is limited to intent and gross negligence.
12. Data Protection
We process personal data according to our Privacy Policy (GDPR compliant).
13. Right of Withdrawal (EU Consumers)

Clients have a 14-day right of withdrawal.
-
If the client consents to immediate start of services (Silver+), they acknowledge that the withdrawal right expires once we begin execution (e.g., listing creation, kickoff call).
14. Governing Law & Dispute Resolution
-
German law applies.
-
Place of jurisdiction is Berlin, Germany.
